OFFICIAL RULES

The following Sweepstakes is intended for play in the 50 United States and the District of Columbia only and shall only be construed and evaluated according to U.S. law. Do not enter this sweepstakes if you are not a resident of, and located in, the 50 United States or the District of Columbia.

1. ELIGIBILITY: NO PURCHASE NECESSARY TO ENTER OR WIN. The UGO/Cinema Confidential Willard Sweepstakes ("the Sweepstakes") is open to legal residents of the 50 United States and the District of Columbia thirteen (13) years of age or older. Employees, officers, and directors of UGO and New Line Cinema, their respective subsidiaries, affiliates, distributors, retailers, sales representatives, advertising and/or promotion agencies and the immediate families (defined as parents, spouse, children, siblings, and grandparents) and household members of each of the above are NOT eligible to enter or win. Void outside of the 50 United States and District of Columbia and where prohibited by law.

2. HOW TO ENTER: You may enter online at www.cinecon.com by completing the online entry form according to the instructions provided. Only one entry per person/unique e-mail address will be entered. Multiple entries will be disqualified. "Releasees" (as defined below) are not responsible for entries not received. No third party entry or entry through sweepstakes service permitted. No mechanically reproduced entries will be accepted. All entries become the property of UGO, and will not be acknowledged or returned.

3. ENTRY PERIOD: Registration for the UGO/Cinecon Willard Sweepstakes begins at 12:00 a.m. EST on March 12, 2003. All online entries must be received by 6:00 p.m. EST on March 24th, 2003.

4. SELECTION OF WINNERS: The potential winners will be selected in a random drawing held on or about March 31st of 2003, from among all eligible entries received. Winning entries are subject to verification of eligibility before prize is awarded.

5. PRIZE: One (1) grand prize winner will receive one (1) autographed Willard poster and one (1) "Rat Pack" containing two (2) New Line horror movie titles on DVD format (to be determined by New Line in its sole discretion), one (1) Willard mouse pad, one (1) Willard T-shirt, one (1) Willard pencil with rat topper, and one (1) Willard plastic rat. Four (4) runner-ups will win one (1) "Rat Pack" as described above. Grand prize ARV: $150.00. "Rat Pack" ARV: $50. Total ARV of all prizes: $350. Taxes and any other expenses not specified herein as being awarded are the sole responsibility of winner. Prizes are awarded "as is" with no warranty or guarantee, either express or implied.

6. NOTIFICATION: Winner shall be notified by e-mail and/or regular mail and/or telephone on or about March 31st of 2003. If prize notification or prize is non-deliverable, the potential winner will forfeit his or her right to be declared a winner and/or win a prize and an alternate winner will be selected in his or her place. The prizewinners' names may be posted on our site.

7. GENERAL CONDITIONS: No transfer, assignment, cash redemption, or substitution of prize permitted except as provided herein. UGO reserves the right to substitute a prize of comparable or greater value or cash in the event the described prize is unavailable for any reason. UGO also reserves the right to: 1.) disqualify any person who tampers with the online entry process, the operation of http://www.ugo.com or any other component of this sweepstakes, or who is otherwise in violation of the Official Rules, and 2.) cancel this sweepstakes should virus, bugs, non-authorized human intervention or other causes beyond the control of UGO corrupt or impair the administration, security, fairness or proper play of the sweepstakes and, in any such event, select winner from eligible, non-suspect entries received prior to event requiring such cancellation. UGO, New Line Cinema, and each of their respective officers, directors, employees, shareholders, and agents (collectively, "Releasees") are not responsible for lost, damaged, illegible, postage-due, incomplete, late or misdirected entries or mail, or for failures or malfunctions of phones, phone lines, telephone systems, or transmissions, interrupted or unavailable network, server or other connections, miscommunications, failed computer hardware or software or technical failures, garbled, misrouted, scrambled transmissions, or other errors or problems of any kind whether human, electronic or otherwise in the transmission and/or receipt of entries. On-line entrants must submit a valid e-mail address. In the event of a dispute, online entries will be deemed made by the authorized account holder of the e-mail address submitted at the time of entry. The authorized account holder is the natural person who is assigned to the e-mail address by an Internet access provider, on-line service provider, or other organization that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. By accepting a prize, winner agrees to abide by and be bound by these Official Rules and agree that Sponsor and its designees may use (unless prohibited by law) winner's name, city and state of residence, photograph and/or likeness for advertising and/or trade purposes and/or for the purpose of displaying his/her name as a winner without further compensation, permission or notification.By entering, entrants agree that Releasees shall have no liability for and will be held harmless from and against any liability, loss, injury or damage of any kind, including but not limited to personal injury, death or property damage suffered by winner or any other person or entity that arises from or in connection with the acceptance, possession, use or misuse of any prize and participation in any prize related activity or the Sweepstakes.

8. SWEEPSTAKES ODDS: The number of eligible entries received will determine the odds of winning. All drawings shall be conducted by UGO whose decisions are final with respect to all aspects of the sweepstakes.
