OFFICIAL RULES

The following Sweepstakes is intended for play in the 50 United States and the District of Columbia only and shall only be construed and evaluated according to U.S. law. Do not enter this sweepstakes if you are not a resident of, and located in, the 50 United States or the District of Columbia.

1. ELIGIBILITY: NO PURCHASE NECESSARY TO ENTER OR WIN. The AIR MAX Q SUPER POWER SWEEPSTAKES ("the Sweepstakes") is open to legal residents of the 50 United States and the District of Columbia fourteen (14) years of age or older. Employees, officers, and directors of Nike and UGO, their respective subsidiaries, affiliates, distributors, retailers, sales representatives, advertising and/or promotion agencies and the immediate families (defined as parents, spouse, children, siblings, and grandparents) and household members of each of the above are NOT eligible to enter or win. Void outside of the 50 United States and District of Columbia and where prohibited by law.

2. HOW TO ENTER: You may enter online at by completing the online entry form according to the instructions provided. You may also enter by hand writing your complete name, address, daytime phone number, e-mail address and sweepstakes closing date on a 3" x 5" piece of paper. Mail-in entries cannot be accepted without a valid e-mail address. Please specify if you would like to receive weekly emails about exclusive UGO offers and promotions and if you would prefer html or text emails. Mail your entry to UGO Networks, Inc., AIR MAX Q SUPER POWER SWEEPSTAKES, 670 Broadway, 2nd floor, New York, NY 10012. There is no need to enter by mail if you enter online. Only one entry per person/unique e-mail address will be counted. UGO is not responsible for entries not received. No third party entry or entry through Sweepstakes service permitted. No mechanically reproduced entries will be accepted. All entries become the property of Warner Bros. North America and UGO, and will not be acknowledged or returned.

3. ENTRY PERIOD: Registration for the AIR MAX Q SUPER POWER SWEEPSTAKES begins at 6:00 p.m. EDT/EST on December 13, 2002. All online entries must be received by 1:00 p.m. EDT/EST on January 10, 2002. Mail-in entries must be postmarked by January 10, 2002 and received by January 15, 2002.

4. SELECTION OF WINNER: The winner will be selected in a random drawing held on or about January 26, 2002, from among all eligible electronic and mail-in entries combined. Odds of winning depend on the number of eligible entries received.

5. PRIZE: Ten (10) prize winners will win one (1) Nike AIR MAX Q Transforming Robot Shoe each. All other expenses not specified herein are the sole responsibility of winner.

6. NOTIFICATION: Winner(s) shall be notified by e-mail and/or regular mail and/or telephone on or about February 3, 2002. If prize notification or prize is non-deliverable, the potential winner(s) will forfeit his or her right to be declared a winner and/or win a prize and an alternate winner(s) will be selected in his or her place and the prize will be awarded. The prizewinners' names will be posted on our site.

7. GENERAL CONDITIONS: No transfer, assignment, cash redemption, or substitution of prize permitted except as provided herein. Nike reserves the right to substitute a prize of equal or greater value or cash in the event the described prize is unavailable for any reason. Taxes on the prize are the sole responsibility of the winner. Winner or winner's parent if winner is a minor will be required to execute and return an Affidavit of Eligibility, Liability Release and (where allowed by law) Publicity Release within 7 days of issuance of notification. Non-compliance with any of the forgoing may result in forfeiture of prize and awarding of prize to an alternate winner. The Winner's guest (or guest's parent or legal guardian if guest is a minor) will be required to sign and return a Liability and Publicity Release prior to issuance of travel documents. Sponsors, in their sole discretion, reserve the right to: 1.) disqualify any person who tampers with the online entry process, the operation of http://www.ugo.com or any other component of this sweepstakes, or who is otherwise in violation of the Official Rules, and 2.) cancel this sweepstakes should virus, bugs, non-authorized human intervention or other causes beyond the control of Sponsor corrupt or impair the administration, security, fairness or proper play of the sweepstakes and, in any such event, select winner from eligible, non-suspect entries received prior to event requiring such cancellation. Nike and UGO, ("Sponsors"), are not responsible for lost, damaged, illegible, postage-due, incomplete, late or misdirected entries or mail, or for failures or malfunctions of phones, phone lines, telephone systems, or transmissions, interrupted or unavailable network, server or other connections, miscommunications, failed computer hardware or software or technical failures, garbled, misrouted, scrambled transmissions, or other errors or problems of any kind whether human, electronic or otherwise in the transmission and/or receipt of entries. On-line entrants must submit a valid e-mail address. (Please refer to UGO's privacy policy.) In the event of a dispute, e-mail entries will be deemed made by the authorized account holder of the e-mail address submitted at the time of entry. The authorized account holder is the natural person who is assigned to the e-mail address by an Internet access provider, on-line service provider, or other organization that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. By accepting a prize, winner agrees to abide by and be bound by these Official Rules and agree that 1.) Sponsors and their parent company, subsidiaries, affiliates, officers, directors, owners, distributors, suppliers, retailers and advertising/promotion agencies may use (unless prohibited by law) winner's name, city and state of residence, photograph and/or likeness for advertising and/or trade purposes and/or for the purpose of displaying their name as a winner without further compensation, permission or notification, and 2.) The fore stated parties, and all of their respective officers, directors, employees, representatives and agents shall have no liability for and will be held harmless from and against any liability, loss, injury or damage of any kind, including but not limited to personal injury, death or property damage suffered by winner of any other person or entity that arises from or in connection with the acceptance, possession, use or misuse of any prize and any travel related thereto or participation in any prize related activity.

8. SWEEPSTAKES ODDS: The number of eligible entries received will determine the odds of winning. Winners will be selected in a random drawing held from all eligible entries received. All drawings shall be conducted by UGO whose decisions are final with respect to all aspects of the sweepstakes.

9. REQUEST FOR OFFICIAL RULES: To request a copy of the Official Rules by mail, send a self-addressed, stamped envelope by first class, prepaid mail to AIR MAX Q SUPER POWER SWEEPSTAKES Rules, UGO Networks, 670 Broadway, 2nd Floor, New York, NY 10012. Residents of Washington State and Vermont are not required to include return postage.

10. WINNER'S LIST: For winner's name mail a self-addressed, stamped envelope to: AIR MAX Q SUPER POWER SWEEPSTAKES Winner's List, UGO Networks, 670 Broadway, 2nd Floor, New York, NY 10012. Official Winner's List requests must be received within six (6) months of completion of the Sweepstakes.
